Terms of Service

1. Scope

These Terms of Service ("Terms") govern your access to and use of GDAgent (the "Software") and the website at https://gdagent.github.io. The Software is provided by GDAgent Team ("we", "us"). For provider identification, see our Imprint.

By purchasing, downloading, installing, or using the Software, you agree to these Terms.

2. Contracting Party

The contracting party is GDAgent Team. Full provider identification (name, address, contact details) is available in our Imprint.

3. Digital Content Delivery

GDAgent is provided as digital content. After purchase, access to downloads and license activation is delivered electronically.

4. License Grant

We grant you a non-exclusive, non-transferable, revocable license to install and use the Software on up to 2 machines, solely for your internal use.

5. License Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble the Software (except where permitted by law).
  • Redistribute, resell, rent, lease, or sublicense the Software or license keys.
  • Circumvent license verification, DRM, or activation limits.
  • Use the Software for unlawful purposes.

5a. Tampering and License Invalidity

Manipulation, modification, or deletion of license files, configuration data, or trial data may result in immediate license invalidation. If your license is invalidated due to tampering or security violations, you must re-enter your license key to continue using the Software. Attempting to circumvent activation limits or security features constitutes a material breach of these Terms and voids all warranties.

6. Prices, Payment, and Merchant of Record

All purchases are processed by Lemon Squeezy (Merchant of Record). Payment terms, invoices, and transaction data are governed by Lemon Squeezy’s checkout and policies.

7. Updates and Support

  • Updates: Unlimited updates are included with your license for as long as the Software is maintained.
  • Support: Email support at gdagent@protonmail.com, best-effort response within 48 hours.

8. Right of Withdrawal (Consumers)

If you are a consumer in the EU/EEA, you generally have a 14-day right of withdrawal for distance contracts. However, this right expires early for digital content if:

  1. You expressly agree that we begin performance (delivery) before the end of the withdrawal period, and
  2. You acknowledge that you lose your right of withdrawal once performance has begun.

We provide the statutory information and obtain this consent during checkout when required. This statutory right of withdrawal is independent of our voluntary refund policy (see Refund Policy).

9. Statutory Warranty Rights

Your statutory rights regarding defects (legal guarantee) remain unaffected. For consumers in the EU/EEA, statutory warranty rights apply in accordance with applicable law.

10. Termination

We may suspend or terminate your license if you violate these Terms. Upon termination, you must stop using and uninstall the Software.

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GDAGENT TEAM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.

Nothing in these Terms limits liability for intent, gross negligence, injury to life, body, or health, or liability under mandatory statutory provisions.

13. Governing Law

These Terms are governed by the laws of Germany, excluding its conflict of law rules. If you are a consumer in the EU/EEA, mandatory consumer protection laws of your country of residence remain applicable.

14. Online Dispute Resolution (ODR)

The European Commission provides an Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr/

We are not willing or obliged to participate in dispute resolution proceedings before a consumer arbitration board.
